1. Services
dyta.ai provides AI software development, consulting, and related technology services. Specific deliverables, timelines, and terms for each engagement are defined in separate project agreements or statements of work.
2. Intellectual Property
Upon full payment, all custom code, models, prompts, and documentation created specifically for your project are transferred to you. You receive full ownership and rights to all deliverables.
dyta.ai retains rights to its pre-existing tools, frameworks, and methodologies that may be used during the engagement, which are licensed to you for use with your deliverables.
3. Confidentiality
Both parties agree to keep confidential information shared during the engagement private. This includes technical details, business data, and project specifications. Separate NDAs may be executed for specific engagements.
4. Payment
Payment terms are specified in each project agreement. Unless otherwise agreed, projects require an upfront deposit with milestone-based payments throughout the engagement.
5. Limitation of Liability
dyta.ai's liability for any claim arising from services is limited to the total fees paid for the specific engagement giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.
6. Termination
Either party may terminate an engagement with 30 days' written notice. In the event of termination, you receive all work completed up to the termination date, and payment is due for work completed.

8. Governing Law
These terms are governed by applicable law. Any disputes will be resolved through good-faith negotiation before pursuing formal legal proceedings.
